Terms and Conditions of Sale

1. Parties and scope
These terms apply to orders submitted on www.krasowood.com (the Website). The seller is KRASO Wood Ltd, Reg. No. 40203372699, VAT No. LV40203372699, Kleistu iela 18c-3, Riga, LV-1067, Latvia (the Seller). The buyer is any natural or legal person submitting an order request on the Website (the Buyer).
2. Prices and VAT
All prices displayed on the Website are exclusive of 21% VAT and are indicative until the Seller recalculates the project. VAT is applied in line with applicable VAT rules. VAT-registered companies receive an invoice without VAT (where applicable under Latvian VAT rules). All other customers have VAT at 21% added on the invoice. The final price and taxes are shown on the invoice.
Prices may change after recalculation and depend on the profile, coverage width, coating system, number of coated sides, selected colour and order volume. The Seller reserves the right to adjust the price after the m² recalculation and project clarification.
3. Nature of the order (no online payment)
An order submitted on the Website is not a paid purchase and does not constitute acceptance of an offer by the Seller. It is an order request so the Seller can perform technical and financial recalculation (m² by coverage width, coating system, colour, number of coated sides, volume and other details) and contact the Buyer to verify the project.
A contract is concluded only after the Seller confirms the order and issues an invoice. If the price or specification changes after clarification, the Seller informs the Buyer and proceeds only after the Buyer’s approval.
4. Payment and invoicing
Payment is made by bank transfer against an invoice sent by email. Standard procedure: 50% advance before production and 50% before delivery. Production starts after the advance payment is received in the Seller’s account. The invoice states the due date and validity period.
5. Production, delivery and risk
Production and delivery lead times are provided in the order confirmation. Delivery is to the address indicated by the Buyer or by pickup from the warehouse. The Buyer ensures site access and unloading. On delivery, the Buyer checks packaging and goods for visible damage; any damage must be recorded in the carrier’s documents and reported to the Seller without delay.
For consumer purchases, the risk passes to the Buyer when the goods are in the Buyer’s physical possession. For deliveries via carrier, risk passes on receipt. In commercial transactions, risk transfer may follow agreed delivery terms (for example EXW, DAP etc.).
6. Product characteristics and tolerances
Wood is a natural material. Variations in colour and texture between batches and sample boards can occur. Colours shown on screens may differ from the actual finish. Coverage-area calculations are based on the selected profile’s technical data. Waste percentage depends on the project and is not included unless expressly stated.
7. Right of withdrawal and returns
All KRASO Wood orders are custom made and personalised (boards are coated to the Buyer’s selected profile, coating system and colour; paint is mixed specifically for the order). Therefore the 14-day right of withdrawal does not apply and returns are not accepted.
This does not limit the Buyer’s statutory rights regarding non-conforming goods (for example defects or non-conformity with the order), which are handled in accordance with applicable law.
8. Non-conformity and claims
If non-conformity or a defect is discovered, the Buyer must contact the Seller at info@krasowood.com and provide the order number and photos. The Seller will assess and offer a remedy: repair, replacement, price reduction or contract termination as provided by law. For consumer purchases, the statutory conformity guarantee applies for at least 2 years. For B2B transactions, terms follow agreement or law.
9. Limitation of liability
The Seller is not liable for indirect losses (loss of profit, delays on site and similar). The Seller’s total liability for a specific order does not exceed the amount paid for that order, except where prohibited by applicable law.

11. Governing law and dispute resolution
These terms and any contracts are governed by the laws of the Republic of Latvia. Disputes should first be resolved by negotiation. If no agreement is reached, disputes are settled in Latvian courts at the Seller’s registered address. Consumers may also contact the Consumer Dispute Resolution Commission or the ECC-Net network as applicable.
12. Changes to these terms
The Seller may amend these terms by publishing an updated version on the Website. The version in force on the date of the order confirmation applies to that order.
